1) Eligibility & Accounts
You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may only use the Services with consent of a parent or legal guardian who agrees to these Terms. You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
2) Educational Content; No Professional Advice
- General education only. Content is for learning purposes and may not suit your specific situation.
- No investment advice. We do not provide personalized securities recommendations, manage portfolios, or act as a fiduciary.
- No credit repair or debt management. We do not dispute items or negotiate with creditors/bureaus on your behalf.
- No legal or tax advice. Consult qualified professionals for advice tailored to you.
3) Course Access; License & Restrictions
Subject to these Terms and any purchase terms, we grant you a limited, personal, non-exclusive, non-transferable license to access course materials for your own non-commercial use. You may not share logins, resell access, scrape, harvest, circumvent access controls, or otherwise misuse the Services.
4) Pricing, Payments, and Taxes
- Prices are shown at checkout and may change. Taxes and fees may apply.
- Payments are processed by third parties (e.g., Stripe). We do not store complete card numbers.
- Refunds. Unless otherwise stated on a course page or required by law, all sales are final. We may issue a courtesy refund or credit at our discretion.
5) Communications & Testimonials
We may send transactional emails (e.g., receipts, course updates). Marketing emails are sent with your consent or as permitted by law; you can unsubscribe anytime. By submitting testimonials or reviews (“User Content”), you grant us a worldwide, royalty-free, perpetual license to use and display them, and you represent you own the rights and your statements are truthful and not misleading.
6) Intellectual Property
The Services and all content are owned by SeaBird or our licensors and protected by intellectual-property laws. SeaBird trademarks and trade dress may not be used without our written permission.
7) Third-Party Links & Tools
We may link to or embed third-party sites and tools. We are not responsible for third-party materials or practices; your use is at your own risk and subject to their terms and policies.
8) Prohibited Conduct
- Violating laws or infringing others’ rights.
- Reverse engineering or accessing non-public systems.
- Using bots/scrapers without permission.
- Introducing malware or disrupting security.
- Misrepresenting your identity or affiliation.
9) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEABIRD AND OUR LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted, timely, secure, or error-free operation, or any particular outcomes.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEABIRD AND OUR OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNTS YOU PAID TO SEABIRD IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; these apply to the extent permitted by law.
11) Indemnification
You agree to defend, indemnify, and hold harmless SeaBird and our officers, directors, members, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or misuse of the Services.
12) Termination
We may suspend or terminate access at any time, with or without notice, including for violations of these Terms. Sections that by nature survive termination shall survive.
13) Governing Law; Arbitration; Class-Action Waiver
- Governing law: Maryland law, without regard to conflict-of-law rules.
- Arbitration: Binding arbitration before the American Arbitration Association (AAA) under its Commercial Rules; seat in Maryland; language English. Judgment may be entered in any court of competent jurisdiction.
- Class-action waiver: Disputes will be resolved only on an individual basis, not as a class or representative action.
- Small-claims option: Either party may bring an individual claim in small-claims court where you reside or in Maryland.
- 30-day opt-out: Email support@seabird.biz within 30 days of first accepting these Terms with your name and account email to opt out of arbitration; if you opt out, Maryland courts have exclusive jurisdiction.
14) Changes to the Services or Terms
We may modify the Services and these Terms. If we make material changes, we will notify you (e.g., site notice or email). Changes apply prospectively. Continued use after changes take effect constitutes acceptance.
